GENERAL TERMS AND CONDITIONS OF SALE (GTCS)

These General Terms and Conditions of Sale supplement the Legal Notice and the Privacy Policy available on the website.

Article 1 – Purpose and Scope

These General Terms and Conditions of Sale (hereinafter the “GTCS”) govern, without restriction or reservation, all sales of products concluded through the website https://www.napoleon-cologne.fr between GESTOR – Les Parfums Historiques (hereinafter the “Seller”) and any non-professional purchaser acting as a consumer (hereinafter the “Customer”).

By placing an order on the website, the Customer acknowledges having read and unconditionally accepted these GTCS prior to confirming the order. The Seller reserves the right to amend these GTCS at any time. The applicable GTCS shall be those in force on the date the order is placed.

Article 3 – Products

The products offered for sale are those displayed on the website https://www.napoleon-cologne.fr on the date of consultation by the Customer, subject to availability.

The essential characteristics of each product (composition, volume, etc.) are described on the corresponding product pages.

Photographs and illustrations accompanying the products are provided for illustrative purposes only and shall not be contractually binding. The Seller shall not be held liable for minor differences, including but not limited to variations in colour shades or packaging presentation.

If a product becomes unavailable after an order has been placed, the Customer will be informed as soon as possible and may obtain a refund of any amounts paid for the unavailable product.

Article 4 – Prices

All product prices are displayed in euros (€), inclusive of all applicable taxes (VAT included), but exclusive of delivery charges.

Where applicable, delivery charges are displayed before the final validation of the order and are charged in addition to the product price.

The Seller reserves the right to change prices at any time. However, the price applicable to the Customer shall be the one in force at the time the order is confirmed.

The total amount payable by the Customer (products plus delivery charges) is summarized on the order confirmation page.

Article 5 – Orders

The Customer selects the products they wish to purchase, adds them to the shopping cart, and confirms the order after verifying its contents, including the selected products, quantities, prices, delivery charges, and delivery address.

In accordance with Article 1127-2 of the French Civil Code, the order is only deemed final after a second confirmation by the Customer (the “double-click” procedure), which constitutes acceptance of the price and description of the products. The Customer may correct any errors before completing this final confirmation.

The sale shall be considered concluded once the Seller sends an order confirmation email to the address provided by the Customer during the ordering process. This confirmation summarizes the essential elements of the order.

The Seller reserves the right to refuse or cancel any order placed by a Customer with whom there is an existing dispute concerning payment of a previous order, or in the event of an order that is manifestly abnormal or placed in bad faith.

Article 6 – Payment

Payment is made online at the time the order is placed using the following payment method(s): credit/debit card.

Payments are processed securely via Stripe or PayPal. The Seller does not store the Customer’s banking information.

Orders will only be processed once payment has been successfully received.

The Seller shall retain ownership of the products until full payment of the purchase price has been received.

Any unauthorized use of the website or of any of its content shall be deemed an infringement of intellectual property rights and may be prosecuted in accordance with Articles L.335-2 et seq. of the French Intellectual Property Code.

Article 7 – Delivery

Products are delivered to the address provided by the Customer at the time of ordering within the following geographical areas:

  • Metropolitan France
  • European Union

Orders are shipped via UPS or Colissimo.

The estimated delivery time is 2 to 5 business days from the date of order confirmation.

In accordance with Article L216-1 of the French Consumer Code, where no delivery date has been specified, the Seller shall deliver the goods no later than 30 days after the conclusion of the contract.

Delivery charges are displayed before the order is confirmed.

The risk of loss of or damage to the products passes to the Customer when the Customer, or a third party designated by the Customer other than the carrier, takes physical possession of the products (Article L216-4 of the French Consumer Code).

In the event of a delivery delay, the Customer may, under the conditions set out in Article L216-6 of the French Consumer Code, require the Seller to deliver the products within an additional reasonable period. If the Seller fails to do so, the Customer may terminate the contract and obtain a refund.

The Customer is encouraged to inspect the products upon delivery and to report any damage or missing items to both the carrier and the Seller as soon as possible.

Article 8 – Right of Withdrawal

In accordance with Articles L221-18 et seq. of the French Consumer Code, the Customer has a period of fourteen (14) days from receipt of the products to exercise the right of withdrawal without giving any reason and without incurring any penalty.

To exercise this right, the Customer must notify the Seller of their decision by means of an unequivocal statement (by post or email using the contact details provided in Article 2), for example by using the model withdrawal form below.

The Customer must then return the products in their original packaging, intact, unopened and with all seals unbroken, no later than 14 days after communicating the decision to withdraw.

The cost of returning the products shall be borne by the Customer.

The Seller shall reimburse all payments received from the Customer, including the standard delivery costs, no later than 14 days after being informed of the Customer’s decision to withdraw.

The Seller may postpone reimbursement until the returned products have been received or until the Customer provides proof of shipment, whichever occurs first.

Unless otherwise agreed, reimbursement shall be made using the same payment method used for the original transaction.

Exclusion for Hygiene Reasons

In accordance with Article L221-28(3) of the French Consumer Code, the right of withdrawal does not apply to goods which, after delivery, have been unsealed and cannot be returned for reasons of health protection or hygiene.

As the perfumes and fragranced products sold on the website are supplied in sealed packaging, any product that has been opened, unsealed, or whose protective packaging has been removed cannot be returned, exchanged, or refunded.

Only products returned intact, unopened, with all seals unbroken, and in their original packaging are eligible for withdrawal under the conditions described above.

Article 9 – Statutory Warranties

Irrespective of any commercial warranty, the Seller remains liable under the following statutory warranties:

Legal Guarantee of Conformity

(Articles L217-3 et seq. of the French Consumer Code)

The Customer has two (2) years from delivery of the product to invoke the legal guarantee of conformity.

The Customer may choose between repair or replacement of the product, subject to the cost conditions provided by law.

For a period of 24 months following delivery, the Customer benefits from a presumption that any lack of conformity existed at the time of delivery, unless proven otherwise.

Warranty Against Hidden Defects

(Articles 1641 et seq. of the French Civil Code)

The Customer may request cancellation of the sale or a reduction in the purchase price within two (2) years of discovering a hidden defect.

To exercise these statutory rights, the Customer should contact the Seller using the contact details provided in Article 2.

The Seller undertakes to process complaints as promptly as possible.

Article 11 – Consumer Mediation

In accordance with Articles L612-1 et seq. of the French Consumer Code, the Customer is entitled to refer any dispute to a consumer mediator free of charge for the purpose of seeking an amicable resolution, provided that the Customer has first attempted to resolve the dispute directly with the Seller by means of a written complaint.

Article 12 – Personal Data

Personal data collected in connection with the sale of products are processed in accordance with the website’s Privacy Policy, which Customers are encouraged to consult.

Such personal data are necessary for the processing, fulfilment, and monitoring of orders.

Article 13 – Intellectual Property

All elements of the website, including but not limited to trademarks, texts, images, logos, and product visuals, are protected by intellectual property laws and remain the exclusive property of the Seller or its partners.

Any reproduction, representation, distribution, modification, or unauthorized use of all or part of the website or its content is strictly prohibited.

Article 14 — Force majeure

The Seller shall not be held liable for any failure or delay in performing its obligations where such failure or delay results from an event of force majeure, as defined by Article 1218 of the French Civil Code and the applicable case law.

Article 15 – Governing Law and Jurisdiction

These General Terms and Conditions of Sale shall be governed by and construed in accordance with the laws of France.

In the event of a dispute, the parties shall first seek an amicable settlement in accordance with the mediation procedure described in Article 11.

Failing such settlement, the dispute shall be submitted to the competent French courts in accordance with the applicable rules of jurisdiction.
